These Terms of Service ("Terms") govern your use of Ruxa AI's AI API services platform ("Service"). By accessing or using our Service, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use our Service.

Definitions

  • "Service" refers to the Ruxa AI platform, APIs, website, and related services
  • "User", "you", or "your" refers to the individual or entity using our Service
  • "Content" refers to any data, text, images, or other materials submitted to or generated by our Service
  • "Credits" refers to the prepaid units used to access our API services
  • "API" refers to our Application Programming Interface

Service Description

Ruxa AI provides a unified API platform for accessing various AI models including text generation, image generation, video generation, and other AI capabilities. Our services are provided on a credit-based system where you purchase credits in advance and consume them based on API usage.

Account Registration

To use our Service, you must:

  • Be at least 18 years old or the age of majority in your jurisdiction
  • Provide accurate, current, and complete registration information
  • Maintain the security and confidentiality of your account credentials
  • Notify us immediately of any unauthorized access or security breach
  • Not share your account with others or allow unauthorized access

You are solely responsible for all activities that occur under your account.

Payment Terms

Payment Processing

  • Payments are processed through trusted third-party payment processors
  • We may offer multiple payment methods including PayPal, Stripe, credit cards, and other providers
  • Prices are displayed in USD unless otherwise specified
  • By making a payment, you agree to the terms of the applicable payment processor
  • All fees are exclusive of taxes unless stated otherwise

Credits and Billing

  • Credits are purchased in advance and deducted based on API usage
  • Credit prices and consumption rates are listed on our pricing page
  • Credits are non-transferable between accounts
  • Unused credits do not expire unless your account is terminated
  • We reserve the right to modify pricing with 30 days notice

Refund Policy

  • Unused credits may be refunded within 14 days of purchase
  • Refund requests should be submitted through our contact page
  • Refunds are processed through the original payment method within 5-10 business days
  • Partially used credit packages are refunded on a pro-rata basis
  • No refunds for credits used or accounts terminated for policy violations
  • Chargebacks or payment disputes may result in account suspension

Subscription and Cancellation

  • Subscription plans auto-renew unless cancelled before the renewal date
  • You may cancel your subscription at any time through your account settings
  • Access continues until the end of the current billing period
  • No refunds for partial billing periods after cancellation
  • Downgrading plans takes effect at the next billing cycle

API Usage

Rate Limits

  • API usage is subject to rate limits based on your subscription tier
  • Exceeding rate limits may result in temporary throttling or request rejection
  • Rate limit information is provided in API response headers
  • Contact us if you require higher rate limits

Fair Use

  • Services must be used in accordance with our Acceptable Use Policy
  • Automated abuse, excessive requests, or denial-of-service attacks are prohibited
  • We reserve the right to throttle or suspend accounts that impact service quality

API Keys

  • API keys are confidential and must be kept secure
  • Do not expose API keys in client-side code or public repositories
  • Rotate API keys regularly and immediately if compromised
  • You are responsible for all usage associated with your API keys

Intellectual Property

  • Our platform, APIs, documentation, trademarks, and branding are our intellectual property
  • You may not copy, modify, distribute, or reverse engineer our proprietary materials
  • Our name, logo, and service marks may not be used without written permission

Your Content

  • You retain ownership of content you create and submit through our APIs
  • You grant us a limited license to process your content for service delivery
  • You are responsible for ensuring your content complies with applicable laws
  • You represent that you have the rights to submit any content you provide

AI-Generated Content

  • Output generated through our APIs may be used according to the respective AI model provider's terms
  • We do not claim ownership of AI-generated content
  • You are responsible for reviewing and using AI-generated content appropriately
  • AI-generated content may be subject to additional restrictions based on the model used

Prohibited Activities

You agree not to:

  • Use the Service for any illegal purpose or in violation of any laws
  • Generate harmful, abusive, defamatory, or fraudulent content
  • Attempt to bypass security measures, rate limits, or access controls
  • Resell, redistribute, or sublicense API access without authorization
  • Use the Service to harm, exploit, or endanger minors
  • Interfere with or disrupt the Service or other users
  • Impersonate any person or entity or misrepresent your affiliation
  • Collect or harvest user data without consent
  • Violate the acceptable use policies of our payment processors
  • Use the Service to develop competing products or services

Service Availability and Modifications

  • We strive for high availability but do not guarantee uninterrupted service
  • Scheduled maintenance will be announced in advance when possible
  • We may modify, suspend, or discontinue features with reasonable notice
  • We are not liable for downtime, service interruptions, or data loss
  • We may update these Terms, APIs, or pricing with appropriate notice

Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND:

  • We disclaim all warranties, express or implied, including merchantability and fitness for a particular purpose
  • We do not warrant that the Service will be error-free, secure, or uninterrupted
  • We do not warrant the accuracy, reliability, or completeness of AI-generated content
  • We are not responsible for third-party AI model outputs or behaviors
  • Your use of the Service is at your sole risk

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

  • Our total liability is limited to the amount you paid us in the past 12 months
  • We are not liable for indirect, incidental, special, consequential, or punitive damages
  • We are not liable for lost profits, data loss, or business interruption
  • We are not responsible for third-party services, content, or actions
  • Some jurisdictions do not allow limitation of liability, so these limitations may not apply to you

Indemnification

You agree to indemnify, defend, and hold harmless Ruxa AI and its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from:

  • Your use of the Service or violation of these Terms
  • Your content or data submitted through the Service
  • Your violation of any third-party rights
  • Your violation of any applicable laws or regulations
  • Any unauthorized use of your account

Account Termination

We may suspend or terminate your account for:

  • Violation of these Terms or our Acceptable Use Policy
  • Non-payment, payment fraud, or excessive chargebacks
  • Fraudulent, illegal, or harmful activity
  • Extended inactivity (with prior notice)
  • At our discretion with reasonable notice

Upon termination for policy violations, unused credits may be forfeited. You may terminate your account at any time through your account settings.

Dispute Resolution

Informal Resolution

  • Before filing any claim, you agree to contact us and attempt to resolve the dispute informally
  • We will work in good faith to resolve any issues within 30 days

Arbitration

  • Any unresolved disputes will be settled by binding arbitration
  • Arbitration will be conducted in accordance with applicable arbitration rules
  • You waive the right to participate in class actions or class arbitrations

Exceptions

  • Either party may seek injunctive relief in court for intellectual property violations
  • Small claims court actions are permitted where applicable

Governing Law

These Terms are governed by the laws of the jurisdiction where Ruxa AI is incorporated, without regard to conflict of law principles. You consent to the exclusive jurisdiction of courts in that jurisdiction for any disputes not subject to arbitration.

General Provisions

Entire Agreement

  • These Terms, along with our Privacy Policy and Acceptable Use Policy, constitute the entire agreement between you and Ruxa AI
  • These Terms supersede any prior agreements or understandings

Severability

  • If any provision of these Terms is found unenforceable, the remaining provisions will continue in effect
  • The unenforceable provision will be modified to the minimum extent necessary

Waiver

  • Our failure to enforce any right or provision does not constitute a waiver
  • Any waiver must be in writing and signed by us

Assignment

  • You may not assign or transfer these Terms without our consent
  • We may assign these Terms in connection with a merger, acquisition, or sale of assets

Notices

  • We may send notices via email, in-app notifications, or posting on our website
  • Notices to us should be sent to our contact email

Changes to Terms

We may modify these Terms at any time. We will notify you of material changes via email or prominent notice on our website at least 30 days before they take effect. Your continued use of the Service after changes constitutes acceptance of the modified Terms.
